General Terms and Conditions<\/h1>\n<\/div>\n\n\n\n

These general terms and conditions apply to agreements entered into by customers with United Spaces Network Offices AB. United Spaces reserves the right to amend and update the general terms and conditions during the agreement period. The current general terms and conditions are always available at <\/strong>www.unitedspaces.com.<\/strong><\/a> It is the responsibility of the customer and member to comply with the general terms and conditions in force at any given time<\/strong>.<\/p>\n\n\n\n

1 AGREEMENT WITH UNITED SPACES<\/strong><\/p>\n\n\n\n

1.1 Definitions<\/strong>“Member Company” refers to the customer who has entered into an agreement with United Spaces for services of a certain scope.<\/p>\n\n\n\n

“Membership” refers to the agreement, including these general terms and conditions, entered into between the Member Company and United Spaces regarding the use of services provided by United Spaces.<\/p>\n\n\n\n

“Member” refers to a designated natural person who, through Membership, is granted access to United Spaces’ services of a certain scope. “Guest” refers to a natural person who, without being a Member, occasionally visits a Member at United Spaces’ premises. United Spaces provides the Member Company with the following services, which are further specified in the product sheet for each service in force at any given time;-“Lounge”-“Private Office”-“Dedicated Desk”\u2013 \u201cConsultant\u201d-“Virtual Office”\u2013 \u201cAdditional Services\u201d including Day Pass <\/p>\n\n\n\n

1.2 Purpose and Nature of Membership<\/strong>The purpose of the Membership is for United Spaces to provide a meeting place where the Member Company is given the opportunity to establish business contacts. United Spaces offers networking services, a creative work environment, and access to technical equipment. Compensation paid by the Member Company to United Spaces constitutes a fee for the various services and products provided by United Spaces. United Spaces has the exclusive right to determine the use of the premises, who shall be granted access to the premises, and when access may occur. <\/p>\n\n\n\n

Membership does not automatically grant the right to register the Company’s legal domicile or postal address at the facility’s address.<\/p>\n\n\n\n

1.3 Online purchase of day passes & memberships<\/strong><\/p>\n\n\n\n

Notice periods are specified in each customer’s specific membership agreement\/contract. Unless otherwise agreed in writing, a two (2) calendar month notice period applies for Lounge and Dedicated Desk. Termination must be made in writing. <\/p>\n\n\n\n

For online purchases of Day Passes, the fee is debited immediately. Refunds for day passes are not possible once the purchase has been completed. <\/p>\n\n\n\n

Any deviations from the notice period shall be documented in the agreement between the parties. In the event of any conflicts between the termination provisions in the agreement and the general terms and conditions, the specific provisions in the agreement shall apply and take precedence. <\/p>\n\n\n\n

1.4 Transfer of Membership and Annual Adjustment of Monthly Fees<\/strong>The Member Company may not transfer the Membership to another party. United Spaces may, at any time, transfer its rights and obligations in accordance with the Membership to another party. <\/p>\n\n\n\n

Fixed adjustment of monthly fee<\/p>\n\n\n\n

United Spaces shall, on January 1st each year, adjust all agreed monthly fees for the Membership as follows. The monthly fees currently in effect (i.e., monthly fees adjusted according to this point) are annually increased by a percentage of four (4) percent. <\/p>\n\n\n\n

Adjustment of monthly fee according to index<\/p>\n\n\n\n

For new agreements signed after [DATE], the annual index or fee adjustment specified directly in the signed contract applies.<\/p>\n\n\n\n

The previous year’s (if applicable, adjusted) price for the Membership shall be increased by the percentage by which the most recently determined October index according to Statistics Sweden’s Consumer Price Index (total index with year 1980 = 100) has risen in relation to the October index (for the same index) of the preceding year. If Membership commenced between January 1st and June 30th, the first adjustment will occur on January 1st of the following calendar year. The price for Membership is then considered adjusted to the index figure for October of the year before the Membership commenced. If Membership commenced between July 1st and December 31st, the first adjustment will occur on January 1st of the calendar year following the next calendar year. The price for Membership is then considered adjusted to the index figure for October of the same year the Membership commenced. If the index has fallen during the specified periods, no adjustment shall be made <\/p>\n\n\n\n

1.5 Handling of Personal Data<\/strong><\/p>\n\n\n\n

The Member Company is responsible for complying with applicable data protection legislation at all times. The Member Company shall, upon request, provide United Spaces with the personal data necessary for United Spaces to deliver the agreed services. For the provision of services, for example, Members’ names and the Member Company they represent must be registered with United Spaces both at the reception and at the main entrance to the premises. <\/p>\n\n\n\n

United Spaces processes personal data primarily for the purpose of fulfilling and administering United Spaces’ rights and obligations under the Membership, but also for other specific purposes such as customer surveys and marketing, and is the data controller for these processing activities. For complete information on what personal data United Spaces processes, the purposes of the processing, the legal basis for the processing, how the data is purged, and the data subject’s rights, please refer to our Privacy Policy<\/a>. <\/p>\n\n\n\n

The Member Company is responsible for providing this information to Members and contact persons, representatives, or other individuals whose personal data may be processed in connection with the Membership.<\/p>\n\n\n\n

<\/p>\n\n\n\n

2 UNITED SPACES PROPERTY<\/strong><\/p>\n\n\n\n

2.1 Care of Property<\/strong>The Member Company is responsible for ensuring that its Members and Members’ Guests are careful with all parts of the premises, its equipment, furnishings, and furniture. <\/p>\n\n\n\n

The Member Company is not entitled to alter the premises and its equipment and furnishings in any way without United Spaces’ permission.<\/p>\n\n\n\n

2.2 Keys and Security<\/strong>The issuance of keys, access cards, or other authorization documents for Member access to United Spaces’ premises and use of services occurs in the manner United Spaces designates at any given time. Keys or access cards belong to United Spaces, and it is not permitted to make copies of them or allow anyone else to use them without United Spaces’ permission. A lost access card or key must be reported immediately to United Spaces, and the Member Company is responsible for costs that may arise regarding the replacement of locks. <\/p>\n\n\n\n

If a Member forgets their access card\/authorization document when visiting United Spaces’ premises, United Spaces can, during reception opening hours, arrange for a new authorization document to be issued at a cost to the Member Company in accordance with the current price list. The Member Company shall ensure that premises to which Members have access through Membership are locked when no one is present in the premises. The Member Company is responsible for the loss of property belonging to United Spaces if the premises were not locked when the loss occurred. Lost loan cards will be charged at 300 SEK. <\/p>\n\n\n\n

3 UNITED SPACES LIABILITY<\/strong><\/p>\n\n\n\n

3.1 Scope of United Spaces’ Liability<\/strong>United Spaces has no liability to the Member Company for loss or damage suffered by the Member Company attributable to the Membership, unless United Spaces has caused the loss or damage intentionally or negligently. United Spaces has no liability for the Member Company’s loss or damage to property that the Member Company stores on United Spaces’ premises, unless a specific storage agreement has been entered into with the Member Company. <\/p>\n\n\n\n

United Spaces is not liable for loss or damage caused by circumstances beyond United Spaces’ control that prevent, delay, or hinder its performance, such as war, sabotage, water damage, fire, natural disaster, flood, interruption of public communications, interruption of public energy supply, burglary, data intrusion, mechanical breakdown, strike, termination of United Spaces’ premises, deficiencies or delays in deliveries from suppliers or subcontractors due to such circumstances or similar circumstances.<\/p>\n\n\n\n

If the Member Company believes that United Spaces has not delivered a service in accordance with the agreed terms, the Member Company shall notify United Spaces in writing and give United Spaces reasonable time to rectify the issue. United Spaces has no liability for loss or damage unless the Member Company has informed United Spaces in writing of the incident and United Spaces has been given reasonable time to correct the error. Under no circumstances is United Spaces liable for loss or damage reported to United Spaces later than three months after the Member Company or the Member Company’s Members became aware of the damage or loss. If United Spaces is liable for failing to provide an agreed service to the Member Company, United Spaces shall, subject to the exceptions and limitations below, pay the actual and reasonable costs incurred by the Member Company by obtaining the service from an alternative source. <\/p>\n\n\n\n

3.2 Exclusion of Indirect Damage, etc.<\/strong>United Spaces is under no circumstances liable for lost business, loss of profit, lost anticipated savings, loss of or damage to data, third-party claims, or other indirect damage or loss.<\/p>\n\n\n\n

3.3 Monetary Limitation of United Spaces’ Liability<\/strong>In all circumstances, United Spaces’ liability is limited to 100% of all fees, but not exceeding SEK 100,000, that the Member Company has paid to United Spaces under the agreement up to the day the damage occurred.<\/p>\n\n\n\n

4 MEMBER COMPANY’S USE OF THE PREMISES AND RESPONSIBILITY<\/strong><\/p>\n\n\n\n

4.1 Member Company’s and Members’ Use of Premises and Office Equipment<\/strong>The Member Company may, through its Members, only use United Spaces’ premises in accordance with the Membership. It is therefore not permitted to use the premises in a way that involves frequent visits from the general public. The Member Company may not conduct business that competes with United Spaces. The Member Company and its Members may not, without United Spaces’ permission, alter or make any interventions in the premises belonging to United Spaces. Such measures include, for example, painting, attaching items to walls, replacing existing furniture in the premises, and adding their own furniture, etc. The Member Company’s brand\/logo may only be made visible in the designated place by United Spaces. <\/p>\n\n\n\n

The Member Company shall ensure that its Members’ computers are compatible with the network and printers offered by United Spaces. It is not permitted to use one’s own broadband\/internet, other office or technical equipment such as one’s own server, wireless storage device, or access point on the premises without United Spaces’ written permission. <\/p>\n\n\n\n

Members are given the opportunity through their Membership to use the lounge at United Spaces’ other venues available in other locations. When visiting another venue, Members must follow local rules. <\/p>\n\n\n\n

Photography and filming in common areas for commercial use or marketing are not permitted without the reception’s written approval, in order to protect the privacy and work peace of other members.<\/p>\n\n\n\n

<\/p>\n\n\n\n

4.2 Opening Hours<\/strong><\/p>\n\n\n\n

The Member Company may, through its Members, use United Spaces’ premises during the opening hours communicated in writing by United Spaces at any given time. Unless otherwise notified, United Spaces’ premises are available for use every day from [05:00 to 00:00]. <\/p>\n\n\n\n

4.3 Further Regarding the Member Company’s Responsibility for the Premises and Office Equipment<\/strong>If the Member Company, its Members, or Guests cause damage to United Spaces’ property or IT network, the Member Company is responsible for compensating United Spaces for the costs incurred by United Spaces. The Member Company is responsible for holding adequate insurance for the business conducted on United Spaces’ premises to protect its property and in relation to its Members and Guests. Lost conference keys will be charged at a cost of 300 SEK. <\/p>\n\n\n\n

The Member Company has, as security for the proper fulfillment of all its obligations under the Membership and law, provided a deposit to United Spaces. The deposit also covers statutory collection costs, legal costs, eviction costs, payment reminder costs, costs in cases handled by the enforcement authority according to the Payment Order and Enforcement Act, as well as interest according to law on the above amounts and other costs incurred by United Spaces. If United Spaces chooses to claim all or part of the deposit, the Member Company shall, upon request, immediately pay the full amount claimed. When United Spaces can confirm that the Member Company has fulfilled all obligations for which the deposit serves as security and the Membership has ceased to be valid, United Spaces shall refund the deposit \u2013 or the remaining part thereof \u2013 to the Member Company. <\/p>\n\n\n\n

4.4 Specifics Regarding Guests<\/strong>If a Member is to meet with more than four Guests, a meeting room must be booked. The Member Company is responsible for the Member’s Guests. Guests are not entitled to access the premises unless the Member the Guest is visiting is present on the premises. Guests may, after the meeting, stay to work on the premises at a cost specified in the price list provided by United Spaces at any given time. The Member Company is obliged to pay this cost for its Members’ Guests. <\/p>\n\n\n\n

4.5 Specifics Regarding Meetings and Other “Pay-As-You-Go Services”<\/strong>Booking of meeting rooms and ordering of other “pay-as-you-go services” occurs in the manner United Spaces designates at any given time. Meeting rooms can be booked subject to availability. After the meeting, the room must be restored to the same condition it was in before the meeting. All food and beverages consumed at meetings on United Spaces’ premises are exclusively provided by United Spaces. Fees for meetings and “pay-as-you-go services” shall be paid by invoice, debit or credit card, or Swish. <\/p>\n\n\n\n

4.6 United Spaces’ Access to and Right to Alter the Premises<\/strong>United Spaces has the right to change the size and design of the premises to which Members have access according to the Membership. The Member Company does not, through the Membership, have an exclusive right to a specific premise. United Spaces therefore has the right to assign the Member Company another comparable premise than the originally agreed one. Prior to such changes to the premises, United Spaces shall, to minimize the impact this may have on the Member Company’s operations, inform affected Member Companies well in advance of such changes. <\/p>\n\n\n\n

Should the Member Company leave belongings on the premises in violation of the Membership, United Spaces reserves the right to take custody of these belongings at the Member Company’s expense and, if the Member Company does not claim the property within one month, dispose of it. United Spaces’ organization of special events, such as inspiration, further education, and networking, may affect Members’ use of the premises. United Spaces always has the right to access all areas that the Member Company may use according to the Membership for cleaning, inspection, maintenance, renovation, or other similar activities. United Spaces shall, when gaining access to the premises, always strive to minimize the impact on the Member Company’s business operations as much as possible. <\/p>\n\n\n\n

4.7<\/strong> Compensation for Premises Adaptation<\/strong><\/p>\n\n\n\n

If the parties have agreed on an adaptation of an area specifically designated for the Member Company and the Member Company is to pay compensation for this to United Spaces, the following applies unless the parties have agreed otherwise in writing. If the Membership ends before the agreed compensation for the adaptation is fully paid, the Member Company shall pay the remaining amount in full in connection with the last payment for the Membership, but no later than on the last day of the Membership. <\/p>\n\n\n\n

IT-related adaptations for a Member Company shall always be regulated in a separate supplementary agreement entered into in writing between the parties.<\/p>\n\n\n\n

<\/p>\n\n\n\n

5 RULES OF CONDUCT<\/strong>The Member Company undertakes to ensure that its Members and Guests observe the rules of conduct in force at any given time.<\/p>\n\n\n\n

6 CONSEQUENCES OF LATE OR NON-PAYMENT \/ TERMINATION OF MEMBERSHIP<\/strong><\/p>\n\n\n\n

6.1 Invoice Complaints and Reminder Fees<\/strong>Complaints regarding invoices must be submitted in writing to United Spaces within ten days from the invoice date.<\/p>\n\n\n\n

In case of late payment, the Member Company shall pay interest in accordance with the Interest Act, and compensation for written payment reminders in accordance with legislation on compensation for collection costs, etc. In case of non-payment, United Spaces reserves the right not to provide agreed services.<\/p>\n\n\n\n

6.2 United Spaces’ Right to Terminate Membership<\/strong>United Spaces has the right to terminate the Membership if the Member Company a)<\/strong> applies for bankruptcy, suspends its payments, or can be assumed to be insolvent b) <\/strong>materially breaches its obligations under the Membership and does not fully rectify the breach within 14 days after written notice from United Spaces, or c) <\/strong>its Members or Members’ Guests materially disregard the rules of conduct or other regulations as set forth in the Membership and do not rectify the breach within 14 days after written notice from United Spaces.<\/p>\n\n\n\n

A notice of termination shall be sent to the Member Company at its registered address by registered letter without acknowledgment of receipt. The notice of termination is considered delivered when it is submitted for postal delivery. The Membership ceases to be valid 1 month after the notice of termination is delivered. <\/p>\n\n\n\n

Upon United Spaces’ termination of the Membership, the Member Company is obliged to pay outstanding costs and for the remaining contract period. The Member Company is also obliged to compensate United Spaces for any damage that may have arisen due to the Member Company’s breach of contract. <\/p>\n\n\n\n

7 CONFIDENTIALITY<\/strong>The parties undertake not to disclose information about either the Membership or the other party’s operations to third parties without the other party’s written consent. United Spaces may not refer to the Membership for marketing purposes without the Member Company’s written approval. However, the parties are not prevented from disclosing information that is generally known otherwise than through a breach of this agreement or if there is an obligation to disclose information according to law, judgment, authority decision, or agreement with a stock exchange or other marketplace where a party is directly or indirectly listed. If United Spaces or the Member Company is required to disclose such information, information about the disclosure shall be immediately provided to the other party. The obligation not to disclose information about the Membership remains valid even after the Membership ceases to be valid. <\/p>\n\n\n\n

8 APPLICABLE LAW AND DISPUTES<\/strong>Swedish law shall apply to disputes arising from the Membership. Any disputes shall be settled by the Stockholm District Court as the first instance. <\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/section>\n\n
